92. אין חולק כי בחודש דצמבר 2010 נחתם בין הצדדים הסכם ההפצה. לגבי מהותו של ההסכם מצוין בסעיף 1.1 לו (שכותרתו "Appointment"), כדלקמן:
"Subject to the terms and conditions hereinafter set forth, MCE hereby appoints and engages the Distributer, to market, distribute and sell the Products, and any other products MCE may elect to include under this Agreement from time to time to customers located in the Territory (hereinafter: "Customers"), and to perform all other activities which are consistent with and permitted under this Agreement and which are reasonable, lawful and proper for the distribution of the Products in the countries that are specified in Exhibit A (each a "Country" and collectively, the "Territory")."
הסכם ההפצה חל אפוא על Products (מונח שהוגדר בהסכם) ועל מוצרים נוספים ש-MCE תבחר מפעם לפעם לכלול בהסכם לגבי לקוחות בתחום הטריטוריה הרלוונטית.
הדבר בא לידי ביטוי גם במבוא להסכם, בו גם הוגדר המונח "Products", באורח הבא:
"Whereas MCE is engaged in the development, manufacturing and marketing of advanced solutions for the mobile phone industry, currently marketed under the MCE-100 and MCE100+ trade name, and other products and/or solutions as further detailed in the product list attached hereto as Exhibit A (which may be amended form [כך במקור] time to time by MCE; collectively with the corresponding documentation hereinafter the "Products");"
93. המוצרים הם, אם כך, פתרונות לתעשיית המובייל המשווקים אותה עת תחת השמות MCE100 ו- MCE100+ וכן מוצרים או פתרונות שיפורטו בנספח A.
94. אין חולק כי MCE100 הוא שמו הקודם או המקורי של המוצר Save&Go. מוצר זה הוא, ללא עוררין, בבחינת Products.
95. מהו MCE100+? הצדדים לא התייחסו לכך באופן ממשי, אך קריאת החומר והדיון העלו צורך לנסות ו"למקם" מוצר זה ביחס להגדרות שונות בהן עשו הצדדים שימוש, ובפרט - Save&Go ו-ToolBox.
96. בתצהירו של וסיליס, איש מקצוע מוערך על ידי שני הצדדים, מצוין כמעט אגב אורחא, כי MCE100+ הוא השם הקודם של מוצר/פתרון שכונה בהמשך "Healthcheck" או "Check&Go" (סע' 26 לתצהיר). לא אותרה בראיות וטיעוני MCE התנגדות להצגה זו של הדברים.
