1. The parties have agreed about the following:
DKOP entrust Messrs. "Corplands Ltd." with finding a Seller of Stable Gas Condensate and Naphta. It is understood that Messrs ""Corplands Ltd." have in mind first of all "Gazprom" and its filias. Messrs "Corplands Ltd." are also entitled to carry on perliminary negociations so that contracts betweeen DKOP and the Seller will be signed on the basis of monthly deliveries of the goods. The contracts have to be fulfilled in 1997.
2. To cover all expenditures which Messrs "Corplands Ltd." can bear as a result of realization of p. 1 for example, expenditures for market analysis, transport charges. Direct expenditures for marketing with the purpose to conclude and fulfil the agreements named in p. 1 DKOP will pay Messrs "Corplands Ltd." compensation for these expenditures. The amount of the compensation in connection with the signed contracts calculated for one actually delivered m/t, are determined in Appendix No. 1 to this agrement.
3. In accordance with p. 2 this compensation is to be paid from the moment of realization of the contract between DKOP and Gazprom or Gazprom fillias, for each partial delivery and against invoices of Messrs. "Corplands Ltd.", issued to DKOP on the basis of RWB's copies issued by the Sender of the goods under the contracts between DKOP and Gazprom or Gazprom fillias (Appendix N 1).
This agreement is confidential and cannot be divulged in the third party. All judicial persons, which are not the parties in this agreement and DKOP's companies and filias, are understood as the third party.
This agreement comes into force from the moment when the contract (Or contracts) between DKOP or Supplier (suppliers)/ Messrs. Gazprom come into force."
