החברה הבת על מנת לכפות את גילוי המסמכים (שם, עמודים 1327-1326). שנית, ישנן חובות רגולטוריות המחייבות את החברה האם להגיש דוחות מאוחדים. לשם כך, נדרשת החברה הבת לספק את נתוניה הכספיים לחברה האם (Painter, Double Derivative Suits, עמודים 162-161; עניין ישקר). שלישית, זו היא זכות הנגזרת במישרין מהזכות להגיש תביעה נגזרת מרובה (Painter,Double Derivative Suits, עמוד 162).
- ההצדקה לאפשר גילוי מסמכים מהחברות השונות בשרשרת ההחזקה מתחזקת כאשר החברות "משתפות" בינן לבין עצמן נושאי משרה וחולקות תחומי פעילות. זה הוא המקרה שבענייננו, כאשר כל החברות בשרשרת ההחזקה עוסקות בתחום הנדל"ן וחלק מבעלי התפקידים מכהנים כנושאי משרה בכמה מבין החברות במקביל. סוגיה זו נידונה בפסק הדין בעניין Martin, שעסק בחברת החזקות אשר החזיקה בשמונה חברות בנות שעסקו כולן בפעילות עסקית באותו התחום. חלק ניכר מהחברות האלה חלקו דירקטורים ואותו אדם כיהן כמעט בכולן כנשיא החברות. התובע, בעל מניות בחברה האם, הגיש לבית המשפט בקשה לגילוי מסמכים – לא רק כנגד החברה האם, אלא גם כנגד החברות הבנות. במקרה כזה, קבע בית המשפט כי ניתן להתעלם ממסך ההתאגדות ולהורות על גילוי מסמכים גם נגד החברות הבנות:
"In dealing with corporations with interlocking directors, and other devices, legal and illegal, useful and harmless, or fraudulent and harmful, for the control of other corporations, the court may rightly ignore corporate existence, when such existence serves as a barrier to the righting of wrong done to the stockholders of the dominant corporation." (Id., at 215).
"Where one corporation owns all the shares of another corporation, co-operating in the same business, the former financing the latter, and the same persons are officers of both corporations, the latter is for certain purposes to be considered as an agency, adjunct or instrumentality of the former. For the protections of the rights of stockholders of the dominant, or parent company, and for fighting the wrongs them by means of control of the dominant, or parent, company of the allied companies, the latter are to be treated as agents of the former, or even as identical with each other.
