במסגרת התכתובות מאותו מועד, עולה כי כבר באותה עת ראתה ביממד את iei כמי שהפרה את החוזה, כפי שציין קונסטנטין בהודעה ל-iei כי:
"Pls be aware that the 1st response from Beamed was that IEI is breaking the agreement and they will consider legal steps…"
ג. בהודעת דואר אלקטרוני מיום 16.2.2012 אשר נשלחה מאת iei לאדקו והועברה על ידי האחרונה לביממד (נספח 24 לתצהיר מרום), צוין על ידי iei כי:
"…after spending considerable time discussing internally we are sorry to inform you that we could not accept the condition. To make the continuity of this project and support your business, IEI proposed on Feb 8th to refund the tooling cost after it reaches 400 units. This is our bottom line and the only way to break even. We believed this is the best
option for both parties.
However, if the customer insist otherwise, we have not choice, but to give up the project. If EDCO and Beammed could reach an agreement, we will refund the 40K NRE back to the customer right away, so the customer can use it to find other supplier to continue the project…If the costumer agree with it, we could start the process right away.
…Could you kindly check with Beammed and learn if there is any difficulty you to accepting our proposal? I sincerely urge you to persuade the customer to continue the project in any way you could to
get a win-win situation."
כלומר, בהודעת דואר אלקטרוני זו, הודיעה iei בצורה מפורשת, כי היא לא יכולה לקבל את התנאים ועל מנת להמשיך את הפרויקט, היא הציעה הצעה שמבחינתה היא "השורה התחתונה" והדרך היחידה להגיע לאיזון ("break even"), אחרת, אם ביממד תתנגד להצעה זו, לא תהיה לה ברירה אלא לוותר על הפרויקט.
בהמשך הנחתה iei את אדקו, לבדוק מול ביממד האם היא מסכימה להצעה ודחקה באדקו לשכנע את ביממד להמשיך בפרויקט במצב שבו כל הצדדים יוצאים מורווחים (win win situation).
אני סבור כי הודעה כזו, משדרת לביממד מסר ברור ובלתי משתמע לשתי פנים, לפיו הנתבעות אינן מוכנות להמשיך בקיום החוזה כפי שהתגבש על ידי הצדדים בעת עריכתו.
ואכן, כפי שעולה מהתכתובות בין הצדדים, ביממד פירשה והבינה את האמור בהודעת הדואר האלקטרוני מיום 16.2.2012, כי iei נסוגה מההסכם בשל העדר כדאיות כלכלית מבחינתה. כך במכתבו של מרום למר גול מיום 6.3.2012 (נספח 26 לתצהיר מרום) הוא ציין, בין היתר, כי:
