כעולה מהאמור בסעיף זה, התחייב התובע לגייס משקיעים ולקוחות לנתבעת 1. נתבעת 2 מאשרת כי ההסכמה בין הצדדים הייתה להשתמש בקשריו של התובע כדי להכיר משקיעים פוטנציאליים ולקוחות שאיתם בשאיפה תירקם עסקה, אולם לשיטתה לא דובר כלל על מיזם. וישאל השואל – על איזו עסקה דובר, האומנם לא הייתה כל כוונה שתירקם עסקה בכל הנוגע למיזם?! אכן ההסכם לא נוקט במילה "מיזם", או בשם המיזם, אך לא ניתן להתעלם מכך כי גם צמד המילים "ציוד רפואי", לא הוזכר בו.
התובע הן בתצהיריו, והן בעדותו חזר והסביר כי התנהל מול אגמון כמנהל בנתבעת 1, וכבעלים עתידיים של נתבעת 2 (עמ' 21 לפרוטוקול).
לטעמי, בשלב חתימת ההסכם העיקר היה "משקיע", ולא לקוחות. יש לזכור כי במועד חתימת ההסכם המדובר היה ברעיון שנולד, וטרם נתפרה "החליפה" למנכ"ל נתבעת 2, שזו האחרונה טרם הוקמה.
- זה המקום להפנות לסעיף 2 (a), הקובע:
"The company shall pay the consultant success fees, of 5% (five percent) of the value of the investment. The value of the investment is, but not limited, to the actual funds and value of shares bonds, rights transferred to the company by approved contact – paragraph 4b. This section shall also apply to any M&A transaction introduced by the consultant. The fees will be paid the consultant no later than 10 days after the investment is actually received by the company and only after the company receive a legal invoice (For example: if the company had received an investment to its company throw consultant contact, in the amount of 1,000,000 US$ net, the consultant will receive a commission amount of 50,000$)."
כאמור בסעיף זה נתבעת 1 התחייבה לשלם לתובע עמלה עבור גיוס הון בשיעור של 5% מהשווי הכספי אשר יועבר לחברה. יש לשים דגש למילים:
"the value of the investment"
- כמו כן, סעיף 2 (b) קובע:
"The company shall give the consultant in addition. Option to purchase 5% (five percents) of same class shares of the amount issued to the approved contact including all benefits related to those shares. (for example: if the approved contact receives 10% shares the consultant would have the right to buy 0.5% shares in the sane value per share). The options, any or all, shall be exercisable by the consultant at any time during a period of three years."
