ילמדנו כי "תום לב" בהקשר זה אין הוא כ"תום לב" במקומות אחרים ואין הוא "תום לב" בלשון בני-אדם.
לאחרונה ראתה אור מונוגרפיה שכתבה Reziya Harrison ושמה Good Faith in Sales [96]. המעיין בספר עב-כרס זה ילמד בנקל לדעת עד-מה נבוכה היא המחברת לכנות כ-“good faith” אותן חובות "חיצוניות" שדבקו בתום-לב במשך השנים, ומוצאים אנו אותה מקדימה לספר, בין השאר, דברים אלה:
“Good faith” and fair dealing
This book is about misleading conduct by sellers and buyers. It shows how the courts, starting in the eighteenth century, have developed methods by which they can apportion responsibility for such conduct and ensure fairness between the parties. The courts... have developed rules for what is acceptable conduct, in the light of the parties’ reasonable expectations. ‘Good faith’ is the label attached to these judge-made rules.
“Good faith” nowadays has a fuzzy sound to the ears of English lawyers. For that reason, I have often used the term “fair dealing”. However, the traditional label “good faith” cannot be abandoned; that would be to obscure the historical roots of the fair dealing principles and a proper understanding of them. The expression ‘good faith’ is used in the older cases: it is still a recognised legal term in civil-law countries: the civil-law concept and our own English concept of good faith have a shared ancestry. Lord Mansfield introduced good faith to England before it became part of the law of France.
It is a pity that good faith sometimes sounds to present-day English lawyers like a vague, literary concept. The truth is that it is a technical legal term.
