I told Kobi that the only way we can move forward is if the valuation will be higher to cover the FF cost.
Until we will solve this issue I don't see any reason to sign or move forward"
- ההודעה הבאה היא מיום 1/4/18 מפלג וכעולה ממנה, היא נשלחה לאחר שיחת טלפון מאותו יום, במסגרתה – ככל הנראה הגיעו הצדדים לכדי הסכמה כלשהי - וכך נכתב בה:
"Following our phone conversation earlier today and as you requested I am attaching the finder's fee agreement with the options to invest all the finder fee back to the company (3.1.3)

להודעה זו צורף הסכם ה – Finder הבסיסי ואליו הוסף סעיף 3.1.3 ולפיו:
The company shall also give the Finder options in the actual investment valuation for a period of 12 months. The amount of options shall be equivalent to investing all Finder's Fee back in the company"
זאת מבלי ששונה איזה מסעיפי אותו הסכם בסיסי.
- בהמשך לכך, נשלחה על ידי דון לפלג ביום 2/4/18 הודעת דואר אלקטרוני ובה נכתב:
"This is my proposal to you assuming an IPO of $8M and $25M Valuation
Option 1 – you reduce the fee to 2% - you get it in cash on the day after the IPO or in options immediately upon the IPO and not for 12 months.
Option 2 –
For the facilitation of the transaction, the company will allocate 5,000,000 options in the company exercisable at 150% of the Capital Raising price, each exercisable on or before 3 years from the Capital Raising date paid to O.D consultancy
Option 3-
- You will get $200K as part of bridge loan and will invest back same day with the 20% discount. In case there will not be an IPO you will need to reimburse us for the difference ($200K-$60K ($1,5M*4%) = $140K_
- The other $200K – you will get for consultancy for 2019 in options and shares vested for 2 years."
- במענה לכך, בהודעת דואר אלקטרוני מיום 22/5/18 מפלג לדון, פלג הודיע כי הוא מקבל את האופציה השלישית בשינוי וכך נכתב בהודעה זו:
