אדון אפוא בכל אחד משני רכיבים אלה של התמורה המותנית.
- אבן-הדרך השנייה של ה-Buyer Solution Award: כאמור, אבן-דרך זו הוסדרה בסעיף 2(b)(i)(2)(b) להסכם, שזו לשונו:
a one-time payment of $2,000,000 shall be earned upon the first Sale of a Buyer product with the Buyer’s Solution integrated into such product, either directly to an OEM or indirectly through a Supplier, as evidenced by the execution of a definitive agreement for such Sale, regardless of whether such Sale occurs prior to or after the expiration of the Earn-Out Period (the “Solution Sale Award”).
כאמור, המונח "Buyer's Solution" (פתרון הרוכשת) הוגדר בסעיף 2.2(b)(i)(2)(a) להסכם כך:
…successful completion of the Buyer’s 5 + 1 security architecture implementation - as described in the System Specification of Daimler AG, attached hereto as Schedule D (the “Buyer’s Solution”), including optimizing the operational capabilities across all five (5) layers of the Buyer’s Solution.
אשר למונח "Sale", הרי שהוא הוגדר בסעיף 1.1 להסכם (סעיף ההגדרות) באופן הבא:
"Sale" means the sale of any product or solution by the Company and/or Buyer, in each case pursuant to a license, permit, right, Contract or other commercial agreement, which shall be subject in each case to the Buyer’s customary sales review process; provided that, when used in relation to determination of the Earn-Out Consideration, “Sale” shall refer only to a Sale of an ECU Shield, TCU Shield, and/or Buyer’s automotive OEM products that includes a TCU Shield and/or an ECU Shield.
כאמור, אין מחלוקת בין הצדדים כי פתרון הרוכשת לא כלל את המגינים. מכאן, שעל-פי לשונו הברורה של סעיף 2.2(b)(i)(2)(b) הנ"ל, בה נעשה שימוש שלוש פעמים במונח "Sale", המוכרים אינם זכאים לתמורה המותנית בגין אבן-דרך זו. שכן, כמפורט לעיל, לעניין התמורה המותנית ("when used in relation to determination of the Earn-Out Consideration") נקבע במפורש כי הגדרת המונח "Sale" תתייחס אך ורק ("only") למכירת המגינים עצמם או למוצרים אחרים של הרמן הכוללים את המגינים, ואין מחלוקת בין הצדדים כי מכירה כזו לא התקיימה בהקשר זה.
