26. בכתב הוויתור השני (נספח 4 לכתב התביעה המתוקן), נקבע כך ביחס למניות:
Whereas, the Undersigned, Uri Alter and Netanel Davidi (collectively, the "Founders") have previously incorporated the Company and as part of the incorporation of the Company allocated the Company's Ordinary Shares among the Founders.
Whereas, the Parties acknowledge and agree that the initial allocation of the Company's shares between the Founders did not reflect the Founders' intent and as such wish for Undersigned to return certain of his Ordinary Shares to the Company, as set forth below.
Whereas, the Parties agree that in order to give full effect to the founders' intention and agreement as of the date of the incorporation of the Company, the Undersigned will transfer to the Company, for no consideration, certain number of Company's Ordinary Shares held by the Undersigned;
Now, therefore, the Undersigned hereby agrees as follows:
1. The Undersigned hereby irrevocably and unconditionally transfers to the Company, for no consideration, 292,950 Ordinary Shares of the Company…"
אין ספק שגם העברת 292,950 מניות אל החברה ללא תמורה, לאחר ששווי החברה הוערך ב – 35,000,000, מהווה תנאי גרוע באופן בלתי סביר, וגם במקרה כאן, מתקיימים תנאים גרועים במיוחד, שיש בהם כדי לתמוך במסקנה, שגם שני היסודות האחרים הדרושים בעילת העושק התקיימו, וכל שפורט לעיל ביחס למסמך הוויתור הראשון נכון גם ביחס למסמך הוויתור השני.
27. לציין, כי בהתחשב באירועים שאירעו לאחר חתימתו של משה על כתב הוויתור השני, נראה כאילו התגשמו כל מאוויי הנתבעים בעוד עניינו של התובע לכאורה להמשיך ולעבוד במסגרת החברה, נגוז, וגם בכך יש כדי ללמד על חוסר ההגינות הגלום במסמכי הוויתור. בעוד החברה ממשיכה ומשגשגת, נושל משה מרוב אחזקותיו בחברה וגם עבודתו בחברה הופסקה. אפילו אניח שיש ממש בטענות הנתבעים באשר לאופן עבודתו והתנהלותו של משה בחברה טרם החתימה על מסמכי הוויתור ולאחריהם ואף אקבל שהפסקת עבודתו של משה בחברה הייתה בלתי נמנעת, אין בכך כדי להצדיק את נישולו מרוב אחזקותיו בחברה, ללא תמורה, מקום שמניות החברה הוקצו לו בעד המוצר או הטכנולוגיה עליו התבססה החברה למצער בשלב הראשון לקיומה.
