בין התנאים אשר צוינו במכתב הכוונות נקבע כי בגין השקעה בסך 800,000$ יוקצו לתובעות מניות בשיעור של 11.436% מהון החברה וכי סכום זה יחשב כהלוואת בעלים של התובעות, כבעלות מניות, לחברה (סעיף 5 למכתב הכוונות). עוד נקבע כי התובעות תשקענה סכום נוסף של 560,000$. לאור חשיבותו להמשך, יובא הסעיף הדן בתוספת השקעה זו (סעיף 6 למכתב הכוונות) כלשונו:
" In addition to the Total Loan Amount, Investors shall have the option, but except as set forth below not the obligation, for a period of 12 months as of the Closing ("Option Period") to provide Company with a second shareholders' loan, subject to the terms and conditions of the Definitive Agreement, on the same repayment terms set forth above, in an aggregate amount of US$560,000 ("Option"). Upon exercising of the Option by Investors, Company shall issue to the Investors, in addition to the Investors' Shares, an amount of Company's Ordinary Shares, constituting as of the date of the Closing 6.564% of the Company's share capital on a fully diluted basis (i.e. an amount that together with the Investors' Shares shall constitute 18% of the Company's share capital on a fully diluted basis, as of the date of closing). Unless Option has been previously exercised by Investors, in the event that during the Option Period, the majority of the members of Option Group listed below ("Qualified Members") shall determine in good faith that the Company's operation requires for the infusion of the Option amount, then upon providing of the Company's written request, signed by more than 50% of the Qualified Members, Investors shall exercise the Option (or any part thereof not previously exercised) under the same terms and conditions set forth above. For the purpose of this Section 6 Qualified Members shall consist of (i) Mr. Mike Gutman; (ii) Mr. Adi Shefaram; (iii) Mr. Jordan Rosenberg; (iv) Mr. Shay Ben-Izehak; (v) Mr. Avner Yassur; and, (vi) Mr. Zvika Barinboim."
5. לאחר חתימת המסמכים כמפורט לעיל, הועבר על ידי התובעות, לפי החלוקה אשר פורטה בסעיף 2 לעיל, סך 800,000$. הסכום הועבר ברובו ישירות לחשבון הבנק של החברה וזאת, למעט סך 341,000$ אשר הועבר לחשבון החברה הישראלית.
