א. תכנית המשחק
משה רונן, שהיה איש הקשר בין הנתבעים למורל תקשורת, שלח למוטי מורל מייל (ביום 1.2.05 (מוצג נ/5)), ובו ביקש ממורל להכין תכנית שתהיה בסיס לשיחה. לדבריו, באותו מייל, עד לאותו שלב הנתבעים שוחחו עם מוטי מורל בדבר רצונותיהם, והעבירו לו חומר, ועכשיו הגיע "תורו" של מורל לגבש הצעה. בעקבות מכתב זה, ביום המחרת, מורל תקשורת הגיש לנתבעים Game Plan, תכנית משחק, בה מפרט מורל את הצעותיו. בתכנית, מיום 2.2.05 צוין, כי התכנית מוגשת לעיונם של הנתבעים לצורך דיון, שינויים ואישור. התכנית מפרטת שורת פעולות כדלקמן:
