- לאחר ביקור הנהלת הרקולס בארץ, בחודשים יולי אוגוסט וספטמבר 2007 הוחלפו בין הצדדים הודעות דוא"ל בנושא התנאים המסחריים שיחולו על יחסיהם (ראו סעיפים 34-30 לתצהיר סודאי; נספחים 16-15 לתצהיר). ביום 14.10.2007 שלח סודאי להרקולס טיוטת הסכם שנוסחה על ידי עורך-דין ד"ר אייל שנהב (להלן: "טיוטת אוקטובר 2007"); סעיף 4 לטיוטה הוקדש לתמורה המגיעה למרקט מאת הרקולס:
"4. In consideration for the services set forth in section 3 above, Market Bridges shall be entitled to a US Dollar amount equal to:
4.1. Loan Commissions: Market Bridges will receive a percentage of the Loan Facility Fee (עמלת חתימה-ע.ב.) of each investment as follows:
4.1.1 If the Loan Facility Fee is lower than 0.5% of the Loan Facility, Market Bridges will receive 50% of the Loan Facility Fee paid to Hercules.
4.1.2. If the Loan Facility Fee is greater than 1% of the Loan Facility Fee, Market Bridges will receive 50% of the Loan Facility Fee paid to Hercules.
4.1.3. If the Loan Facility Fee is between 0.5% and 1.0% of the Loan Facility, Market Bridges will receive a portion of the Loan Facility Fee that equals to 0.5% of the Loan Facility. For example: If the Loan Facility Fee is 0.9% of the Loan Facility, Market Bridges will receive 0.5%, which equals to 55% of the Loan Facility Fee.
4.1.4. Any other fee payable in connection with the origination of a loan (for example cancellation fee) will be allocated equally between Hercules and you.
4.2. Warrants Commission: 10% of the warrants ("Warrants") received by Hercules of any Israeli Companies, that may be allocated to Hercules in respect of investments pursuant to loan agreements executed after the date hereof, if any (the "Warrant Commission"). Warrants will include any other upside granted to Hercules, for example consideration payable upon an exit, an M&A transaction or an IPO. Warrants and/or any other upside granted will be assigned directly to Market Bridges and/or its employees on the day of the closing with each Israeli Company.
